Spacestack Terms of Service

Last updated on October 12, 2026.

Spacestack is provided by Crown Point Media, LLC ("we", "us", or "our"), a company registered in California, USA. These Terms of Service ("Terms") form a legally binding agreement between you and us concerning the Services.

About Our Services

Spacestack provides cloud-based software tools designed to help event venues and other event-based businesses manage their operations, customer relationships, inquiries, bookings, and related workflows. The Services may include features for managing leads and contacts, organizing sales pipelines and booking stages, tracking event opportunities, maintaining venue and event information, scheduling and calendar management, storing business-related data, and other tools intended to support the management of event-based businesses. We may add, modify, remove, or update features and functionality of the Services from time to time.

Key Definitions

"Services" means the Spacestack marketing website located at https://spacestack.io, the Spacestack web application located at https://app.spacestack.io (the "App"), and all related products, features, content, and services provided by us that link to or reference these Terms.

"Customer" means the organization or other legal entity subscribing to the Services, or an individual subscribing on their own behalf. "You" and "your" refer to the Customer and, where the context concerns an individual’s use or conduct, the individual using the Services. An individual acting for an organization represents that they have authority to bind that organization.

"Authorized Users" means the Customer’s employees, agents, contractors, and other persons the Customer authorizes to access the Services. "Account" means an account used to access the Services. "Organization Owner" means an Authorized User with the owner role for a subscribing organization in the App. The Customer is responsible for its Authorized Users’ compliance with these Terms.

"Using our Services" means interacting with our Services in any way, including creating an Account, making payments, accessing, browsing, providing or transmitting information, content, materials, or instructions through the Services, integrating with the Services, or doing so directly or through automated tools, scripts, software, or third-party applications.

Agreement to These Terms

By using our Services, you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and any other policies expressly incorporated into these Terms, and you consent to electronic communications and contracting as permitted under applicable laws. If you do not agree, you may not use our Services.

Our Services are intended for users aged 18 or older, or above the age of majority in their jurisdiction, whichever is higher. Persons below this age may not use our Services. If we become aware that a user is below the required age, we may suspend or terminate their access to our Services immediately and without liability.

By using our Services, you acknowledge and agree that:

  • you are at least 18 years old (or the age of majority in your location, whichever is higher);
  • you have the legal capacity to enter into these Terms, and if you are representing an organization or other legal entity, you have the authority to bind that entity;
  • the information you provide to us is, and will remain, accurate, complete, and current;
  • and you are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive sanctions or embargoes, and you are not a blocked, denied, or otherwise restricted party under applicable sanctions or export control lists.

If you do not meet these requirements, you must not use our Services.

Conditions of Use

By using our Services, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

  • Modify, copy, prepare derivative works of, decompile, or reverse engineer any Materials, software, or content provided through our Services, without prior written permission from us.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notations on any Materials, software available through our Services.
  • Transfer, distribute, or "mirror" any part of our Services' Materials to another server or person without explicit authorization from us.
  • Use our Services in a manner that knowingly or negligently disrupts or abuses our networks or any other services provided by us.
  • Transmit, distribute, or post any harassing, indecent, obscene, fraudulent, or unlawful material through our Services.
  • Use our Services in violation of any applicable local, state, national, or international laws or regulations.
  • Engage in unauthorized advertising or spam activities using our Services.
  • Harvest, collect, or gather user data without the explicit consent of the user or in violation of our Privacy Policy.
  • Use our Services in a manner that infringes, misappropriates, or violates the privacy rights, intellectual property rights, or other rights of our company or any third party.
  • Use automated scripts or technologies, including bots or data mining tools, to access, scrape, or extract data from our Services without explicit consent from us.
  • Attempt to gain unauthorized access to any portion of our Services or any related systems or networks.
  • Engage in any conduct that restricts or inhibits any other user from using or enjoying our Services, or which, in our judgment, exposes our company or any of its users to any liability or detriment of any kind.
  • Access, use, export, re-export, transfer, or otherwise make available our Services or any underlying software, technology, or content in violation of any applicable export control, trade, or economic sanctions laws.
  • Hide or misrepresent your identity, including by using false names, impersonating others, or concealing your status as a sanctioned or restricted party.
  • Take advantage of any feature or functionality that a reasonable person would consider to be an obvious omission, bug, or error.
  • Attempt to circumvent or bypass any functionalities, restrictions, usage limits, paywalls, geo-restrictions, or access features of our Services.

Failure to comply with these limitations may result in the suspension or termination of your access and rights to our Services, as well as any other legal remedies available to us.

Changes to Our Terms

We may amend, remove, or vary these Terms from time to time. Non-material changes may take effect immediately. For material changes, we will provide reasonable advance notice and obtain renewed acceptance where required by applicable law. Changes required by applicable law or reasonably necessary to address an emergency may take effect immediately to the extent permitted by law. Changes apply prospectively and do not retroactively alter charges already incurred.

Your continued access to or use of the Services after a change takes effect constitutes acceptance of the revised Terms to the extent permitted by law. Continued use alone does not replace express consent to recurring charges or other changes where applicable law requires affirmative consent. Subscription pricing changes are also subject to the "Pricing Changes and Required Notices" subsection below.

Your Statutory Rights

Every clause in these Terms applies in full, except where a mandatory provision of applicable law requires otherwise. Nothing in these Terms limits, excludes, or modifies any mandatory rights, protections, or remedies you may have under the laws that apply to you.

Your Account

You may need to create an Account to access all or part of our Services. Your username and password are for your personal use, and you must ensure that your Account information is accurate. If you believe your Account information requires updating, or if you experience problems accessing your Account, contact us.

Our Access to Your Account

From time to time, we may need to access your Account to provide or support our Services, to investigate potential violations of these Terms, to respond to legal requests, or to protect the security and integrity of our Services.

Single Sign-On (SSO) Services

We may offer the option to register, log in, or connect your Account to Third-Party Services using Single Sign-On (SSO). When you use this feature, you acknowledge that you are using a Third-Party Service, and you grant us permission to access and process information from your Third-Party Service profile as permitted by that service and your privacy settings. You may revoke access to any Third-Party Service at any time through your Account settings or the Third-Party Service's platform.

Account Security

Although we make commercially reasonable efforts to keep our Services secure, you are solely responsible for maintaining the security of your Account and any password(s) used to access it. You agree to: (a) use strong, unique passwords; (b) not share or disclose your password or access credentials to any third party; (c) implement additional security measures we may offer, such as two-factor authentication, if available; and (d) notify us immediately if you suspect any unauthorized access to your Account or other security breach, take all necessary steps to terminate the unauthorized use, and provide us with your full cooperation and assistance to terminate, rectify, and prevent further unauthorized use. We reserve the right to require you to change your password or implement additional security measures if we believe your Account security may be compromised.

We are not liable for any loss, damage, or consequences arising from: (a) your failure to comply with these security obligations; (b) unauthorized access to your Account; or (c) any actions taken through your Account, whether or not authorized by you.

Account Deletion

If you wish to delete your Account, please contact our support team. Only an Organization Owner or another person with appropriate authority may request deletion of an organization’s Account and associated data. We will verify the request and handle deletion in accordance with our Privacy Policy and applicable law, including any lawful retention obligations.

Canceling your subscription is separate from deleting your Account. You may cancel future subscription renewals without first deleting your Account or paying outstanding amounts. Cancellation does not eliminate payment obligations already incurred. A deletion request does not replace cancellation; if you want both, cancel through Manage Plan or expressly ask support to cancel as part of the deletion request.

Before completing deletion, we may ask you to resolve outstanding payment obligations to the extent permitted by law. This does not prevent cancellation of future renewals or limit any legally required deletion rights. Once the deletion process is complete, we will send a confirmation email.

Account Suspension and Termination

We reserve the right, at our sole discretion and without liability, to the maximum extent permitted by applicable law, to suspend, terminate, or delete your Account, restrict access to our Services, or take any other appropriate measure with immediate effect for reasons including but not limited to:

  • Your use of our Services poses a security risk to us, our Services, or any third party.
  • Your use of our Services may adversely impact us, our affiliates, partners, or customers.
  • Your use of our Services may subject us or our affiliates to liability or breach under any applicable law.
  • Your use of our Services may be fraudulent, abusive, discriminatory, or illegal.
  • Your use of our Services may disparage or devalue our reputation or goodwill.
  • You have not fulfilled your payment obligations to us, whether arising from use of our Services or any other services we offer.
  • You are in breach of these Terms, including any representations and warranties.
  • You become subject to a petition in bankruptcy or any other proceeding relating to insolvency, cessation of business, liquidation, or assignment for the benefit of creditors.
  • There has been unauthorized use of our Services.
  • We are requested to do so by any legal or public authority under any applicable law.

Where the issue is capable of being remedied and immediate action is not reasonably necessary, we will give you prior notice and a reasonable opportunity to remedy it before we suspend or terminate. We may act immediately and without prior notice where we reasonably consider it necessary, including in cases of fraud, security risk, unlawful activity, legal or regulatory requirements, or repeated failure to remedy.

Upon suspension or termination by us under this section, your right to access the affected Services may end immediately. Outstanding amounts already incurred remain payable, and we may retain or delete data in accordance with our Privacy Policy and applicable law. We may apply lawful credits or prepayments toward outstanding amounts. Ordinary cancellation requested by a Customer follows the access-end dates in the subscription section and does not itself cause immediate loss of access.

You may appeal our decision by contacting us. All appeals are subject to our review and may not be available in all circumstances.

Pricing, Taxes, and Fees

Unless stated otherwise, prices are in United States Dollars (USD) and exclude applicable taxes. At checkout, we display the selected plan, venue quantity, billing frequency, recurring amount, and any amount due immediately. Where taxes apply, Stripe calculates and displays the taxes collected for the payment being confirmed. The amount due today during a free trial is distinct from the recurring charge that begins after the trial.

Before a plan change is submitted, we display the selected recurring price and the timing of the change. A prorated charge shown as an estimate is separate from the recurring total and may change because of the final calculation time, applicable taxes, discounts, credits, or account balances. The final invoice identifies the actual charge. We do not treat a pricing estimate as a new recurring price or impose undisclosed surcharges.

If we discover an obvious pricing error before processing payment, we may correct the error and inform you of the correct price. You will have the option to proceed at the correct price or cancel the affected purchase.

If you qualify for tax-exempt status, you must provide valid documentation for verification. We may reject documentation that cannot be verified, and an unapproved purchase may remain subject to applicable taxes. We may adjust taxes or legally required fees to comply with changes in law, with notice where required.

Payments

Our website accepts payments using:

  • Visa Mastercard American Express Discover Google Pay Apple Pay

Depending on the payment method you choose, additional costs and conditions may apply. We reserve the right to modify available payment methods with appropriate notice.

If you choose a payment method that involves additional fees, such as currency conversion or installment fees charged by your bank or payment provider, those fees will be clearly indicated before payment confirmation where known to us. We do not impose hidden surcharges.

Payment Processing

Payments are securely processed by licensed third-party payment providers:

  • Stripe

By providing payment information, you authorize the relevant payment provider to store and process it; you authorize us to charge your selected payment method for the total amount displayed at checkout, any applicable recurring fees or subscriptions, and any additional amounts expressly agreed by you; and you confirm that you are authorized to use the selected payment method and that the billing information provided is accurate and up to date.

Although payments are processed by third parties, we remain responsible for fulfilling our contractual obligations to you. For billing inquiries, please contact us using the contact details at the base of these Terms. For technical payment processing issues, you may also contact the relevant payment provider.

Failed or Unauthorized Payments

You must promptly inform us if your payment method is canceled, your payment details change, or you become aware of unauthorized use.

If we are notified that a payment method has been compromised or used without authorization, we will suspend further charges to that payment method pending clarification.

Failed subscription payments are handled under the "Failed Subscription Payments" subsection and the "Account Suspension and Termination" section. Payment issues do not prevent you from canceling future subscription renewals.

Billing Errors

If we identify a clear technical or administrative billing error, we reserve the right to correct it. We will notify you before charging any additional amount and provide an opportunity to raise questions or dispute the correction. You may contact us at any time if you believe you have been incorrectly charged.

Billing Complaints

If you are dissatisfied with any payment or billing matter, please contact us so we can attempt to resolve the issue.

Refunds

Except where we expressly offer otherwise or applicable law requires a refund, fees for a paid subscription period are non-refundable once that period begins. Canceling a subscription or reducing a venue allowance does not create a prorated refund or credit for the unused part of the current paid period. See "Subscriptions, Billing, Plan Changes, and Cancellation" for when those requests take effect.

You may contact us to request a refund, and we may consider discretionary refunds on a case-by-case basis. This policy does not limit your mandatory rights, our obligation to correct an erroneous charge, or a refund expressly promised by us.

Subscriptions, Billing, Plan Changes, and Cancellation

Organization Subscriptions and Authority

Subscriptions are issued to the subscribing Customer and may be used by its Authorized Users for the Customer’s internal business operations. A subscription is not a personal license limited to a single employee. The Customer may not resell, sublicense, or transfer the subscription without our prior written consent, except as expressly permitted by these Terms or applicable law.

An Organization Owner must have authority to purchase or change the organization’s subscription, authorize recurring charges, and approve a venue-related billing reduction. Inviting team members does not authorize those users to make billing changes unless they are also Organization Owners. Plan features and usage limits are described at signup and in the App, as lawfully modified with any required notice.

Recurring Billing and Authorization

We offer monthly and annual billing and may offer eligible customers a Founders monthly plan. Each subscription includes a selected number of venue allowances. We disclose the selected per-venue price, venue quantity, recurring total, billing frequency, applicable taxes, trial terms, and any known promotional price transition before you complete checkout or approve a plan change.

A subscription begins when checkout is successfully completed and confirmed, including a checkout that begins a free trial. For an eligible trial, paid billing begins at the disclosed trial end unless you cancel before that time. Without a trial, the first subscription payment is due when you complete checkout. Monthly subscriptions renew each month and annual subscriptions renew each year until canceled. An annual plan is charged for the year as disclosed; a monthly equivalent shown for comparison is not a monthly installment arrangement.

By affirmatively accepting the billing terms and completing checkout or approving a plan change, you authorize us, through Stripe, to charge your selected payment method for the disclosed recurring charges, applicable taxes, and additional charges you expressly approve, such as a prorated venue addition. This authorization continues until you cancel or the subscription otherwise ends. Payment verification may involve a temporary authorization hold by the payment provider; such a hold is not a subscription fee.

Keep your billing information current. Billing dates, any scheduled plan changes, and cancellation status are shown in Manage Plan. We send subscription confirmations and legally required notices electronically to the organization owner’s account email or by another method required by law.

Free Trials

An eligible organization may receive one 30-day free trial for its first subscription. Eligibility is determined at checkout. Canceling and resubscribing does not restart the trial, and creating or changing user accounts does not itself establish trial eligibility. We collect a payment method at signup, but no subscription fee is due during the free trial.

Unless you cancel before the trial end shown in Manage Plan, the trial automatically converts to the selected paid subscription, and your payment method is charged the disclosed recurring amount plus applicable taxes. You do not need to submit a separate order for that conversion after authorizing it at signup.

During a free trial, changes to the billing interval or venue quantity take effect immediately without a subscription charge for the free trial time. The original trial-end timestamp stays the same: a change does not restart or extend the trial. For example, changing plans ten days into a 30-day trial leaves approximately twenty days of trial time. The selected recurring rate begins at the original trial end unless you cancel before then.

If you cancel during the trial, you retain access through the original trial end, and you will not be charged when it ends. A cancellation reason is optional and is never required to cancel.

Venue Allowances and Venue Changes

Each active venue requires one purchased venue allowance. During initial setup and after purchasing additional allowances, the organization must create enough active venues to match its selected allowance before completing workspace setup. You cannot create or restore an additional active venue beyond the current purchased allowance; you must first update your subscription to include it.

During a paid billing period, added venue allowances take effect immediately, subject to Stripe’s processing and any required payment confirmation. Stripe charges a proration for the added allowances for the remaining part of the current paid period. Future recurring charges reflect the increased allowance, and existing future schedules are adjusted to reflect the additional venues. An allowance awaiting required payment confirmation may not yet be available for venue setup.

An Organization Owner who archives or removes an active venue must confirm a corresponding reduction of one venue allowance. During a trial, the reduction applies immediately and preserves the original trial end. During a paid period, the reduction applies at the next renewal; the venue may be archived or removed immediately, but the existing paid allowance remains in effect until that renewal. There is no prorated credit for the current paid period. The App may restrict deletion or archiving to preserve bookings and historical records.

A direct reduction of the plan allowance cannot leave more active venues than the future allowance will cover; archive the appropriate venues first. An active subscription must retain at least one allowance. To stop billing for the final allowance, cancel the subscription. Not using the Services, archiving a venue without completing the required billing confirmation, or leaving an allowance unused does not independently cancel the subscription.

Billing Interval and Scheduled Plan Changes

After the trial, changes between Standard monthly and Standard annual billing take effect at the next renewal. Venue allowance reductions also take effect at the next renewal. The current paid period continues on its existing terms until then. During the free trial, those changes take effect immediately while preserving the original trial end.

After paid billing has begun, a request that both adds venues and changes the billing interval must be submitted in two steps: first add the venue allowances, then request the interval change. During a trial, both may be changed in one request. Changes must be submitted through Update plan and reviewed and accepted before saving; merely opening or editing the form does not change the subscription.

A scheduled change remains subject to the timing and amount shown in Manage Plan and the confirmation email. You may revise a scheduled change through Manage Plan where supported, subject to the same timing rules and a new review and acceptance. If you cancel before a scheduled change takes effect, the subscription ends at the current trial or paid-period end and the future change is not billed.

Founders Monthly Plan

The Founders monthly plan is available only to eligible organizations using an approved offer or code. The disclosed Founders per-venue rate applies for the original first twelve paid monthly billing periods. Free trial time does not count toward those twelve periods. At the end of that introductory period, the subscription changes to Standard monthly billing at the post-introductory rate disclosed at signup, unless a permitted annual switch has been scheduled or the subscription has been canceled. Later price changes remain subject to the notice and consent requirements below.

Once paid Founders billing has begun, a switch to Standard annual billing takes effect at the end of the original twelve paid Founders periods, rather than at the next monthly renewal. The remaining Founders monthly periods continue on their existing billing interval. The annual rate and its effective date are shown before the switch is approved.

Founders organizations may add or remove venue allowances under the same timing rules as other subscriptions: paid additions take effect immediately with proration, paid reductions take effect at the next renewal, and trial changes apply immediately. The remaining Founders phases and any future Standard monthly or annual schedule are adjusted to reflect the changed quantity. Venue changes do not restart or extend the Founders introductory period.

If a Founders organization switches to Standard annual billing during its free trial, the change takes effect immediately and replaces the future Founders monthly discount. The original trial end is preserved, and the selected annual plan is first billed when that trial ends. The deferral until the end of twelve paid Founders periods applies only after paid Founders billing has begun.

Cancellation and Access After Cancellation

An Organization Owner may cancel at any time in the App through Settings → Manage Plan → Cancel plan, then confirm cancellation. Cancellation turns off future renewal and takes effect at the end of the current trial or paid billing period. You do not have to delete your Account, provide a reason, complete a survey, speak with a representative, or pay an outstanding balance to stop future renewals.

Cancel before the trial-end or renewal timestamp shown in Manage Plan to avoid the next subscription charge. During a trial, access continues through the original trial end and no subscription charge is taken when it ends. During a paid period, access continues through the current paid period and the subscription does not renew. Paid cancellation does not create a prorated refund except where expressly offered or required by law. Separate lawful suspension or termination for security, misuse, nonpayment, or another reason under these Terms may restrict access earlier.

We confirm accepted cancellations by email and display the scheduled end date in Manage Plan. If the App is unavailable or you need assistance canceling, contact contact@spacestack.io and identify the organization and your authority to act for it. We will process a verifiable cancellation request promptly. A failed cancellation submission does not turn off renewal; if you receive an error or cannot confirm the status, contact support. Any mandatory legal protections concerning cancellation requests and charges continue to apply.

Amounts properly incurred before cancellation remain payable. After the subscription has ended, restarting requires a new checkout at the then-disclosed terms and does not grant a new trial or reinstate an expired Founders introductory period.

Pricing Changes and Required Notices

Customer-requested plan changes follow the amounts and effective dates reviewed and accepted for that request. A promotional transition disclosed and accepted at signup, including the end of Founders introductory pricing, is part of the original offer and remains subject to any legally required advance notices.

For a price increase initiated by us, we will give advance notice of the new amount, billing frequency, effective date, and cancellation method as required by applicable law. Such an increase will not be applied retroactively or during an already-paid period. It will take effect at a subsequent renewal after the required notice period, and we will obtain any affirmative consent required by law. You may cancel before it takes effect to avoid the increased future charge.

Where applicable law requires, we will provide annual-renewal notices, annual subscription reminders, notices before the end of a free or discounted promotional period, and fee-change notices within the required timeframes and by the required method. A checkout confirmation does not replace a separate advance notice required by law. Nothing in these Terms waives your applicable cancellation, notice, consent, or refund rights.

Failed Subscription Payments

Stripe may retry an unsuccessful charge using the payment method you authorized for the subscription. We will notify the organization’s owners of overdue subscription payments and how to review the plan or resolve the issue. No additional payment method is authorized merely because it exists elsewhere in your Account; use of another method requires an applicable authorization.

A subscription that Stripe reports as past due may retain workspace access for up to fifteen days from the recorded start of that past-due status. Access ends when that grace period expires or earlier if the subscription becomes unpaid, canceled, or otherwise ineligible, or if suspension is warranted under the "Account Suspension and Termination" section. This grace period does not extend a canceled trial or paid subscription period. Plan management and cancellation remain available to an authorized owner, including through support if access to the App is restricted.

You remain responsible for amounts lawfully due. To the extent permitted by law, we may seek reasonable collection costs and lawful interest on unpaid amounts, but will not collect charges or fees prohibited by applicable law. Any such claim remains subject to your right to dispute the amount and to the dispute-resolution provisions below.

Third-Party Services

Our Services may include features, tools, and integrations (collectively, "Third-Party Services") that rely on, are built by, are connected with, or are supported by companies that are independent from us. • Some of our AI Features may rely on or be supported by Third-Party Services. Where this is the case, the terms set out in the Third-Party Services section of these Terms apply.
  • Content generated using AI Features constitutes User-Generated Content and will be treated as such under these Terms.
  • AI Features may generate automated outputs based on probabilistic models and may produce inaccurate or incomplete results.
  • You are responsible for reviewing and verifying all outputs before relying on them.
  • Your use of AI Features may be subject to additional terms and conditions, which will be made available at the time of access or use.

Limitations of AI Features

We do not guarantee the accuracy, reliability, or suitability of AI Features for any particular purpose and, to the maximum extent permitted by law, disclaim all liability for any errors, inaccuracies, or damages resulting from their use.

You acknowledge that our Services may contain errors, bugs, or interruptions. We have no obligation to provide notice of, or correct, update, modify, maintain, or repair any aspect of our Services, except as required by applicable law.

Discontinuation

We reserve the right to suspend or discontinue all or part of the Services where reasonably necessary for legal, security, operational, or business reasons. Where practicable, we will provide reasonable notice before discontinuing a Service.

Temporary Interruptions

We aim to keep the Services available and reliable. However, the Services may occasionally be unavailable due to scheduled maintenance, updates, technical issues, or circumstances beyond our reasonable control. We may, at our discretion, grant you access to experimental features, pre-release functionality, or developmental tools that have not been released to our general customer base ("Experimental Features"). Such Experimental Features are provided on a provisional basis for evaluation and internal assessment purposes only, and must be limited to non-commercial evaluation and testing within your internal operations.

By accessing Experimental Features, you acknowledge that Experimental Features constitute our proprietary and confidential information, and you agree to maintain strict confidentiality regarding any aspects of these features, including their existence, capabilities, performance characteristics, and any related documentation. We reserve the right to withdraw, modify, suspend, or discontinue your access to any Experimental Features without prior notice or obligation. You further acknowledge that we make no commitment to incorporate any Experimental Features into our commercially available Services and provide no assurances, express or implied, regarding their reliability, availability, performance, or future availability.

Data Processing

By accessing our Services, you acknowledge our collection and analysis of usage metrics, service interaction patterns, and operational data across our user base in accordance with our Privacy Policy and applicable data protection laws. We may aggregate and anonymize this information for analytical purposes, research, product development, and industry insights. All such aggregated and anonymized data, once processed to remove identifying characteristics, becomes our proprietary information and may be utilized, disclosed, or published at our discretion. This aggregated data will not include information that could reasonably identify you as an individual user. Additionally, we reserve the right to leverage non-identifying information you provide through the Services to enhance functionality, promote our services, optimize user experience, and refine our service offerings.

SMS/MMS Communications

From time to time, we may send promotional, conversational, and informational communications by SMS, MMS, or voice calls ("Mobile Communications"), but only with any consent required by applicable law, which you may withdraw. We do not charge for Mobile Communications; message and data rates may apply from your mobile carrier. Mobile carriers are not liable for delayed or undelivered messages.

These mobile communication provisions do not make optional marketing consent a condition of receiving the Services. Necessary account, security, billing, and subscription emails are service communications described elsewhere in these Terms. Opting out of marketing messages does not cancel a subscription or prevent legally required or necessary service notices.

We will not share or sell your mobile phone number or SMS opt-in consent data with third parties or affiliates for their marketing or promotional purposes. Our handling of personal information is described in our Privacy Policy.

When you expressly opt in to Mobile Communications, you consent to receive those communications at the number you provide and acknowledge and agree that:

  • you are at least 18 years old;
  • you have the authority to provide consent;
  • consent is not required as a condition of purchasing any goods or services from us, except where such Mobile Communications are necessary for transaction completion or account security;
  • you are the owner or primary user of the mobile phone number provided;
  • and our mobile carrier may impose its own restrictions on automated messaging;

Our Use of Automated Dialing Technologies

We may use an automatic telephone dialing system ("ATDS"), artificial or prerecorded voice technology, or other automated technologies to send you Mobile Communications. By providing your consent, you specifically authorize our use of these technologies.

Opting Out of SMS/MMS Communications

To opt out of Mobile Communications, reply "STOP" or "UNSUBSCRIBE" to a text message, or contact us using the contact details below. After opting out, you may receive one confirmation message. We will honor the request within applicable legal timeframes. This opt-out does not cancel your subscription or opt you out of necessary service emails.

If you have multiple numbers registered with us, you must opt out for each number separately. If you change your mobile phone number, you must notify us immediately to prevent messages from being sent to your old number.

For help with our Mobile Communications at any time, reply "HELP" to any message we send you, or contact us using the contact details at the base of these Terms.

Intellectual Property

We retain sole ownership of all intellectual property ("IP") rights in and to our Services, our Materials, and any proprietary rights inherent in and to our Services. These rights are protected by international intellectual property laws and treaties and apply worldwide.

Nothing in these Terms shall be interpreted as transferring to you any rights, interest, or title in our company or Services, except as explicitly stated in these Terms.

Subject to your compliance with these Terms and any payment obligations you have to us, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services solely for your personal or internal business purposes.

All rights not expressly granted to you are reserved by Crown Point Media, LLC and its licensors.

Use of Our Brand and Materials

If you publicly publish or distribute materials generated by or exported from our Services, you must include reasonable attribution to us, such as a visible credit or link to our website, unless we provide specific attribution guidelines, in which case those guidelines apply.

You may refer to our company name and brand in a factual and truthful manner. You must not use our name, logo, trademarks, or other brand assets in any way that implies endorsement, sponsorship, or affiliation with us without our prior written consent.

Force Majeure Events include, but are not limited to, acts of God, natural disasters, internet outages, cyberattacks, strikes, and failures of third-party services.

Upon the occurrence of a Force Majeure Event, we will use commercially reasonable efforts to promptly notify you through any reasonable means about the nature of the event and its expected impact on our Services, to the extent practicable under the circumstances. Any delay or failure to provide such notification due to the Force Majeure Event itself shall not constitute a breach of this agreement or result in any additional liability to us. The affected obligations will be suspended for the duration of the Force Majeure Event, and any performance deadlines will be automatically extended by a period equal to the duration of the delay plus a reasonable period for resuming activities.

Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we make no warranties or representations of any kind, express or implied, and we disclaim all implied warranties and conditions, including without limitation any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that our Services will be uninterrupted, error-free, timely, secure, free of viruses or other harmful components, or that any defects will be corrected; that the Services will meet your requirements or expectations; or that any information or content available through the Services is accurate, complete, or reliable.

Limitation of Liability

The following limitations apply to the maximum extent permitted by applicable law. Where any limitation is partially or wholly unenforceable, it applies to the maximum extent that is enforceable.

In no event will we, our affiliates, suppliers, licensors, agents, officers, directors, or employees be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity, savings, reputation, use, or data, arising out of or in connection with these Terms or your use of (or inability to use) our Services, regardless of whether the claim is brought in contract, tort (including negligence), breach of statutory duty, indemnity, equity, or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability to you arising out of or in connection with these Terms or your use of our Services, regardless of the cause of action, will not exceed the greater of (a) the total amounts paid by you to us in the 6 months immediately preceding the event giving rise to the claim, or (b) $10.

Any claim or cause of action arising out of or relating to these Terms or your use of our Services must be commenced within 2 year(s) after the claim or cause of action accrues. Otherwise, the claim or cause of action is permanently barred. Where applicable law does not permit this limitation, this clause does not apply to you.

Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded under applicable law.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, some of the above limitations may not apply to you in their entirety, and our liability is limited to the maximum extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless our company, our affiliates, and our respective officers, directors, employees, agents, licensors, suppliers, successors, and assigns ("Indemnified Parties") from all claims, losses, damages, penalties, fines, costs, and expenses (including reasonable legal fees and costs) arising out of or related to:

  • your access to or use of our Services, including content, services, or features provided therein;
  • your breach or alleged breach of these Terms or any applicable laws, regulations, or regulatory requirements;
  • your violation or alleged violation of any third-party rights, including without limitation intellectual property rights, privacy rights, publicity rights, or contractual rights;
  • your negligence, gross negligence, willful misconduct, fraud, or fraudulent misrepresentation;
  • any disputes, issues, or claims between you and any third party arising from your use of our Services;
  • any transactions or relationships between you and any third parties in connection with our Services;
  • and any security breaches, unauthorized access, or data incidents resulting from your actions or omissions.

This indemnification obligation includes, without limitation, claims related to: (a) allegations of non-compliance with data protection, privacy, or consumer protection laws; (b) infringement or misappropriation arising from customized content, configurations, or implementations; and (c) any representations, warranties, or guarantees you make regarding our Services to third parties.

You will cooperate promptly and fully in the defense of any such claim at your own expense. We reserve the right, at our sole discretion, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to assist and cooperate with us in asserting any available defenses and to promptly reimburse us for all reasonable costs and expenses incurred in connection with such defense. You may not settle, compromise, or make any admission of liability in connection with any claim subject to this indemnification without our prior written consent.

To the extent permitted by applicable law, this indemnification obligation (a) survives the termination or expiration of these Terms or your use of our Services, and (b) is independent of any other rights or remedies available to the Indemnified Parties. In jurisdictions where such indemnification provisions are limited or unenforceable, this section applies only to the maximum extent permitted by law and does not affect any non-excludable statutory rights you may have. The Indemnified Parties reserve all rights and remedies available at law or in equity and may seek injunctive relief or specific performance in addition to monetary damages.

Dispute Resolution

Governing Law

These Terms and disputes arising out of or relating to them or the Services are governed by the laws of the State of California and applicable federal laws of the United States, without regard to conflict-of-law rules. If mandatory law in your jurisdiction provides protections that cannot be waived by contract, those protections remain applicable.

California Courts

Subject to any mandatory jurisdiction or venue rights, disputes will be resolved in the state courts located in Sacramento County, California, or the federal courts located in Sacramento, California, that have subject-matter jurisdiction. You and we consent to the personal jurisdiction and venue of those courts. Nothing in this provision prevents a party from bringing an eligible claim in a small claims court or another court where applicable law gives that party a non-waivable right to do so.

We encourage you to contact us using the contact details below so that we can attempt to resolve a concern before litigation. Contacting us is not a prerequisite to canceling a subscription, seeking urgent relief, exercising a statutory right, or filing a claim within an applicable deadline.

Injunctive Relief

A party may seek injunctive or other equitable relief from a court with jurisdiction where appropriate, including for unauthorized use of the Services, unlawful disclosure of confidential information, or intellectual property infringement, subject to applicable law.

Miscellaneous

Severability

If any provision of these Terms is found by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be deemed removed to the extent necessary, and the remaining provisions shall remain in full force and effect.

If the removal of a provision materially affects the balance of rights and obligations under these Terms, we may amend the affected provision to the extent necessary to make it lawful, while preserving its original purpose as closely as possible.

Waiver

No waiver of any breach, default, or right under these Terms shall be effective unless expressly made in writing and signed by an authorized representative of the waiving party. Our failure or delay in exercising any right or remedy under these Terms shall not operate as a waiver, impair future rights to strict performance, or affect any other available rights or remedies.

Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, the specific subscription terms reviewed and accepted at checkout or for an approved change, and any mandatory pre-contractual information, form the agreement between you and us concerning the Services. They replace prior discussions or communications concerning the same subject matter. Specific price, quantity, trial, and timing disclosures accepted for your subscription govern that transaction; other provisions of these Terms continue to apply.

Nothing in these Terms limits or excludes any rights you have under applicable consumer protection, unfair commercial practices, or data protection laws. If any information we provide to you before entering into the contract is required by law to form part of the contract, it will remain binding.

We may update these Terms in accordance with the "Changes to Our Terms" section. We are not bound by any other term or condition you propose in any correspondence, purchase order, or document, regardless of whether we expressly object to it. Any other changes must be agreed in writing.

Notices

You may contact us at any time using the contact details below. Where these Terms require written notice, email is sufficient unless mandatory law requires another method. A notice is considered received when sent if there is no indication that delivery failed, except where applicable law requires another delivery or receipt standard. Legally required subscription notices follow the timing and delivery requirements of applicable law.

We may send notices to you using the email address associated with your Account or any other contact details you have provided. You are responsible for keeping your contact information accurate and up to date.

Assignment

You may not transfer your rights or obligations under these Terms to another person without our prior written consent, unless such transfer is permitted by applicable law.

We may transfer our rights and obligations under these Terms to another company, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. If we do so, we will ensure that your rights under these Terms are not reduced as a result of the transfer. Where required by law, we will inform you of such transfer.

Interpretation

In these Terms, "including" means "including but not limited to."

The authoritative version of these Terms is the original English (US) version, which shall prevail over any translation in the event of a conflict. Any translations are provided purely for convenience, and we are not responsible for errors or inconsistencies in them.

Headings in these Terms are for convenience only and do not affect the interpretation of any provision.

Survival

Any provision of these Terms that by its nature or express terms should survive the expiration or termination of these Terms will survive, including any accrued rights and obligations.
